ASSUMPTIONS, TERMS, AND GENERAL CONDITIONS
Unless otherwise stated in the scope of work, Delmi Solutions Incorporated (Delmi) will perform installations based on the following assumptions, terms, and general conditions:
1. General Assumptions
- The installation will be completed during regular business hours (8:30 a.m. to 5:00 p.m.), Monday to Friday, on a continuous work schedule.
- The work environment where installation is to take place is free from any materials containing asbestos.
- All installations can be completed utilizing non-unionized labor unless specified otherwise.
- Existing conduit or pathways are the responsibility of the client and must be accessible and of sufficient size to accommodate new cabling. No allowances have been made for additional conduit, cable tray, core drilling, or wire mold beyond what is specifically stated in the scope of work.
2. Warranty and Service
- All labor undertaken by Delmi is covered by a 12-month warranty, effective from the date of customer acceptance of the work unless otherwise specified. This warranty covers labor only, and active components installed by Delmi are covered under the manufacturer’s warranty.
- Warranty work will be performed between 8:00 a.m. and 5:00 p.m., Monday to Friday. Next business day response is guaranteed for warranty calls received before 4:00 p.m. EST. Any services required outside of these hours will be billed at the appropriate rate.
- Extended service agreements are available upon request for additional coverage beyond the one-year labor warranty.
3. Customer Obligations
- The customer must provide a representative on-site during installation for any required arrangements.
- Any drawings, blueprints, or plans needed for the work are to be provided to Delmi.
- Moving of heavy furniture, file cabinets, desks, supplies, and associated paraphernalia is the responsibility of the client and must be completed before Delmi’s arrival on-site.
- If discrepancies are found in the quotation, the client must contact Delmi before installation. Any necessary adjustments will be discussed and agreed upon with a signed authorization before proceeding.
- If the site is unseen and a lift device is required, Delmi will provide one at an additional charge if none is available on-site.
4. Unforeseen Delays and Additional Work
- Delmi will make every effort to meet specified due dates; however, circumstances beyond our control—such as strikes, third-party contractor delays, or customer-caused interruptions—may impact project timelines.
- Delmi will not be responsible for delays in delivery caused by factors such as fires, floods, accidents, riots, acts of God, war, sabotage, governmental interference, or other unforeseen circumstances beyond Delmi’s reasonable control.
- Any interruptions to the workflow caused by the customer or other contractors, resulting in additional costs to Delmi, will be invoiced at the current time and material rates.
- All additional labor and material beyond the original scope of work will be invoiced at Delmi’s time and material rate unless otherwise specified.
5. Payment Terms
- All labor and materials are to be invoiced at the end of each calendar month for projects exceeding 30 days. Payment is due Net 30 days from the invoice date, subject to maintaining satisfactory credit arrangements with Delmi.
- If the material cost exceeds half of the total quoted price, payment for material is due within seven days of the work start date, and the customer will be invoiced accordingly.
- Interest charges will be applied to overdue accounts.
- The standard deposit structure is:
- 35% deposit upon acceptance/sign-off of the quote
- 55% upon delivery of equipment/material
- 10% on completion/final cut-over
6. Project Cancellations
- Delmi requires 24 hours’ notice for any cancellation of scheduled work. Cancellations within the 24-hour period will incur a 4-hour service charge per technician.
- Delmi will not be responsible for loss or damage due to delays caused by fires, floods, accidents, riots, acts of God, war, sabotage, governmental interference, or other causes beyond our control.
7. Permits
• Any necessary work permits will be charged to the customer on a project-by-project basis.
8. Miscellaneous Conditions
- Any unforeseen activity beyond the scope of work will be discussed with the customer and authorized before commencing.
- All prices are quoted in Canadian dollars unless specified otherwise and are exclusive of applicable taxes.
- Delmi’s pricing is valid for 21 days from the date of the quotation.
TERMS:
- Pricing is valid for 21 days from the date of the quotation.
- Payment terms are due upon receipt of the invoice unless otherwise arranged.
- Deposit structure: 35% upon acceptance, 55% on delivery of materials, and 10% upon final completion.
